Trading Terms

1. Quotations

1.1 Quotations by ActSafe - Safety Advice and Systems unless otherwise stated in them shall be open for acceptance within 60 days of the date of the quotation.

2. Existence of Contract

  • 2.1 No contract shall come into existence until the Customer has accepted the Quotation in writing.
  • 2.2 These Conditions shall be incorporated into the Contract to the exclusion of any terms or conditions stipulated or referred to by the Customer.
  • 2.3 No variation or amendment of these Conditions or oral promise or commitment related to them shall be valid unless in writing and signed by or on behalf of ActSafe - Safety Advice and Systems and the Customer.

3. Payment

  • 3.1 All invoices are payable within 14 days of the date of the issue of the invoice and in no circumstances will the Customer be entitled to make any deduction or withhold payment for any reason at all.
  • 3.2 Results and certificates for completion of courses will only be issued on receipt of full payment of the invoice.
  • 3.3 Without prejudice to any other rights of ActSafe - Safety Advice and Systems if the Customer fails to pay the invoice price within 14 days of the date of issue the Customer shall pay interest on any overdue amount from the date of which payment was due to the date of actual payment (whether before or after judgment) on a daily basis at a rate of 4% per annum over the base rate from time to time quoted by the Bank of England and shall reimburse to ActSafe - Safety Advice and Systems on an indemnity basis all costs and expenses (including legal costs) incurred in the collection of any overdue amount.
  • 3.4 ActSafe - Safety Advice and Systems shall have a lien over the Customer's documents and other items in ActSafe - Safety Advice and Systems's possession for all amounts due at any time until the invoice is paid.
  • 3.5 ActSafe - Safety Advice and Systems may at any time at its discretion suspend or terminate the supply of ActSafe - Safety Advice and Systems's services if the Customer fails to make any payment when due or otherwise defaults in any obligation under these conditions or becomes insolvent, has an administrative receiver appointed of its business or is compulsory or voluntarily wound up or ceases or threatens to cease trading or ActSafe - Safety Advice and Systems bona fide believes that any of those events may occur, and in the case of termination may forfeit any deposit paid.

4. Scope of Contract

Under no circumstances shall ActSafe - Safety Advice and Systems have any liability whatsoever for:

  • 4.1 the Customer's failure to follow the advice given by ActSafe - Safety Advice and Systems; and
  • 4.2 failure of the Customer's employees, agents or otherwise to follow the advice given by ActSafe - Safety Advice and Systems.

5. Extent of Liability

  • 5.1 It is the responsibility of the Customer to ensure that their workplace is continually monitored and checked to identify hazards and their associated risks. It is for the Customer to remove any hazard and to implement the necessary control measures, policies and procedures to reduce the level of risk to the lowest possible level.
  • 5.2 The advice given by ActSafe - Safety Advice and Systems is based on current Health and Safety and Food Safety Laws and publications produced by the Health and Safety Executive. The advice will be presented in the form of a report and this should be checked carefully to ensure that the information has been recorded accurately and is correct.
  • 5.3 ActSafe - Safety Advice and Systems will advise the Customer on health and safety and food safety issues, procedural improvements and training however the Customer remains responsible for all aspects of health and safety in the Customer's workplace.

6. Cancellation

  • 6.1 The following cancellation terms will apply to any courses or consultations booked with ActSafe - Safety Advice and Systems:

    15 to 27 days in advance of Course or Consultation 25% of Course Fee or Consultancy Fee
    14 days or less in advance of Course or Consultation Full Course or Consultancy Fee
  • 6.2 ActSafe - Safety Advice and Systems reserves the right, at its absolute discretion and without liability to cancel any advertised course in which event all monies paid will be refunded.

7. General

  • 7.1 Except for any which is expressly agreed to be included in the course or consultation all copyrights, patents, design, and other intellectual property rights in or relating to any course or consultation materials, manuals, forms or systems provided or made available in connection with work undertaken by ActSafe - Safety Advice and Systems, remain the sole property of ActSafe - Safety Advice and Systems.
  • 7.2 In the event that the Customer has a complaint please discuss the nature of the complaint with ActSafe - Safety Advice and Systems as soon as possible. If the complaint cannot be resolved the Customer should put the complaint in writing. ActSafe - Safety Advice and Systems will respond to any written complaint within 14 days of receipt.
  • 7.3 Final numbers of delegates and names are required in writing 10 working days before any course plus any previously agreed pre course questionnaires or other materials.
  • 7.4 The agreement between ActSafe - Safety Advice and Systems and the Customer shall be governed by English law and the Customer consents to the exclusive jurisdiction of the English courts in all matters regarding it.
